Masuknya sistem hukum common law dalam bidang ekonomi termasuk di dalamnya kontrak-kontrak bisnis ke dalam sistem hukum Indonesia tidaklah dapat dihindari. Hal tersebut menjadi konsekuensi dengan adanya penanaman modal asing. Dalam penulisan ini menggunakan metode kepustakaan dengan mengumpulkan dan mempelajari bahan-bahan yang relevan dengan topik pembahasan. Salah satu bukti masuknya sistem hukum common law di Indonesia dalam bidang ekonomi yakni adanya arbitase dan peradilan niaga serta kontrak bisnis seperti Joint Venture Agreement, Franchise Agreemen, Loan Agreemen, dan Agency Agreement. Namun dalam perjanjian bisnis tersebut biasanya memuat standart clausul atau klausula baku dimana klausula tersebut bersifat memaksa kepada pihak yang lain
