Kewenangan Peralihan Hak atas Tanah yang Berasal dari Penyertaan Modal Negara (PMN) pada Persero

AbstrakPenyertaan Modal Negara (PMN) dilakukan dengan tujuan untuk memperbaiki struktur permodalan dan mengembangkan kapasitas usaha Persero. Tidak selalu berbentuk uang, Negara adakalanya melakukan PMN berupa tanah untuk mendorong Persero melakukan optimalisasi aset dan meningkatkan revenue. Penelitian ini dilakukan dengan menggunakan metode penelitian yuridis normatif untuk memahami kedudukan tanah yang berasal dari PMN dalam struktur kekayaan Persero. Kejelasan kedudukan tanah tersebut dalam kekayaan Persero akan mempengaruhi kewenangan organ Persero dalam mengoptimalisasi pemanfaatan tanah termasuk melakukan pemindahtanganan. Hasil dari penelitian ini menunjukkan bahwa akibat hukum dari PMN adalah pemisahan kekayaan Negara menjadi kekayaan persero dimana organ Persero berhak mengurus kekayaan persero termasuk melakukan pemindahtanganan sepanjang sesuai dengan kepentingan, maksud dan tujuan Persero. Namun terhadap aset Persero berupa tanah hanya dapat dipindahtangankan melalui penyertaan modal Persero kepada anak perusahan/perusahaan patungan yang kepemilikan saham Persero didalamnya telah mencapai 99% atau setelah penyertaan modal Persero menjadi minimal 99%.Kata Kunci: pemindahtanganan tanah, penyertaan modal negara, pemisahan kekayaan negara, kekayaan Persero, kemandirian Persero. AbstractState Equity Participation (SEP) is carried out with the aim to improve the capital structure and develop the business capacity of Persero. Not always in the form of money, the State sometimes does SEP in the form of land to encourage Persero to optimize assets and increase revenue. This research was conducted using normative juridical research methods to understand the position of land derived from SEP in the structure of Persero's wealth. Clarity of the position of the land in the wealth of Persero will affect the authority of Persero organs in optimizing land use including land transfer. The results of this study show that the legal consequence of SEP is the separation of State wealth into Persero wealth which Persero organs have the right to manage including land transfer as long as it is in accordance with the interests, intentions and objectives of Persero. However, the Persero's assets in the form of land can only be transferred through the Persero's equity participation to a subsidiary/joint venture company in which the Persero's share ownership has reached 99% or after the Persero's equity participation becomes at least 99%.Keywords: land transfer, State Equity Participation, separation of state assets, Persero’s wealth, Persero’s autonomy.Downloads
